Terms of Service

1. Introduction
1.1. These Terms of Service ("Terms") govern your access to and use of the Jim Carter III AI service, including the website located at https://ai.jimcarter.me and related applications on iOS and Android (collectively, the "Service").
1.2. The Service is provided by CARTER & CUSTER LLC, a limited liability company organized under the laws of the United States ("Company", "we", "us", or "our").
1.3. By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, you must not use the Service.
2. Eligibility
2.1. You must be at least 18 years old, or the age of majority in your jurisdiction, whichever is higher, to use the Service.
2.2. You may not use the Service if you are barred from doing so under applicable law or under any applicable sanctions or export control laws.
3. Description of the Service
3.1. The Service provides access to AI-powered conversational and related tools designed to assist with tasks such as brainstorming, answering questions, and generating content ("AI Features").
3.2. The Jim Carter III AI web app and mobile applications on iOS and Android function as clients for the experience hosted at https://ai.jimcarter.me and communicate with our servers and third-party AI providers to process your inputs and deliver responses.
3.3. We may modify, suspend, or discontinue any part of the Service at any time, with or without notice, provided that such changes do not materially reduce features you have already paid for during a current billing period, except as required by law or platform policies.
4. Accounts and Registration
4.1. To access certain features (for example, chat history, personalization, or paid tiers), you may be required to create an account and provide a valid email address and other requested information.
4.2. You agree to provide accurate, current, and complete information during registration and to keep it updated.
4.3. You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account. You must promptly notify us at support@jimcarter.me of any unauthorized use or suspicion of a security breach.
5. Subscriptions, Payments, and Refunds
5.1. Some features of the Service may be offered on a paid basis ("Paid Services"), such as subscriptions or usage-based plans. Pricing and available plans are described at checkout and on our offer pages.
5.2. Paid Services may be purchased through our web checkout and supported billing flows. The iOS and Android apps do not currently offer Apple In-App Purchases or Google Play in-app billing. Payments are processed by third-party processors, including Stripe and Spiffy.
5.3. We do not store your full payment card information.
5.4. Renewals and cancellations. If you purchase a subscription, it may renew automatically at the end of each billing period unless you cancel before renewal through the applicable billing flow or by contacting support@jimcarter.me. Details about renewal, cancellation, and any trial period are provided at checkout.
5.5. No refunds policy. All sales are final. We do not offer refunds for any reason, including partial billing periods.
5.6. Paid access entitles you to use the features described at the time of purchase, but does not guarantee any specific outcome, performance, or content quality.
6. License to Use the Service
6.1. Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to install and use the Jim Carter III AI app on devices you own or control and to access and use the Service solely for your personal or internal business purposes.
6.2. You may not copy, modify, distribute, sell, lease, or sublicense any part of the Service, nor reverse engineer or attempt to extract the source code, except to the extent such restrictions are prohibited by law.
7. Acceptable Use and Prohibited Conduct
7.1. You agree not to use the Service to:
- Violate any applicable law or regulation.
- Infringe the intellectual property, privacy, or other rights of any person.
- Generate, upload, or share content that is illegal, harmful, threatening, abusive, harassing, defamatory, obscene, hateful, or otherwise objectionable.
- Promote violence, self-harm, terrorism, or discrimination.
- Attempt to bypass, disable, or interfere with security or access controls.
- Reverse engineer or attempt to discover the underlying models or systems beyond permitted use.
- Use automated scripts or bots to excessively query or scrape the Service.
- Use the Service to develop or train models that compete with our Service or that violate the terms of any third-party AI providers we rely on.
7.2. We reserve the right (but have no obligation) to review content and suspend or terminate accounts that violate these Terms or pose a risk to us, other users, or third parties.
8. AI-Generated Content and No Professional Advice
8.1. Content generated by the Service, including responses, suggestions, and other outputs ("AI Output"), is produced automatically by AI systems, primarily operated by our third-party AI provider Delphi AI, Inc. ("Delphi"), based on patterns in data and your inputs.
8.2. AI Output may be incomplete, inaccurate, offensive, or inappropriate. Neither CARTER & CUSTER LLC nor Delphi independently verifies, endorses, or guarantees that any AI Output is accurate, current, or suitable for your particular use case.
8.3. The Service does not provide professional advice (including legal, medical, financial, or other regulated professional advice). Any information or content provided is for informational and general purposes only and is not a substitute for advice from a qualified professional.
8.4. You are solely responsible for evaluating and using any AI Output and must not represent it as professional advice or as originating from a human expert unless it has been independently reviewed and approved by such an expert.
9. Your Content and License to Us
9.1. "User Content" means any content you submit, upload, or transmit through the Service, including prompts, chat messages, files, and feedback. You retain ownership of your User Content, subject to any third-party rights.
9.2. You grant CARTER & CUSTER LLC a worldwide, non-exclusive, royalty-free license to use, host, store, reproduce, modify, and create derivative works from your User Content as reasonably necessary to:
- Provide, operate, and improve the Service.
- Maintain security and prevent abuse.
- Comply with law, enforce these Terms, and protect our rights.
9.3. We may use aggregated or de-identified forms of User Content for analytics, quality, and product improvement.
10. Our Intellectual Property
10.1. The Service, including all software, models, interfaces, designs, logos, and other content (excluding User Content), is owned by CARTER & CUSTER LLC or its licensors and is protected by intellectual property and other laws.
10.2. Except for the limited license granted in Section 6, you receive no ownership rights in the Service or its content.
11. Third-Party Services and Delphi AI
11.1. The Service integrates or interacts with third-party services, including:
- AI providers that process your prompts and context (currently Delphi AI, Inc.).
- Email and communication providers.
- Analytics and experimentation tools.
- Payment and checkout processors, including Stripe and Spiffy.
11.2. When you interact with the AI (for example, by sending prompts, messages, or audio), that content is sent to Delphi and processed by Delphi's systems so we can return responses to you. Your use of the embedded Delphi experience is also subject to Delphi's own Terms of Use, which describe how Delphi handles user submissions, voice data, billing, and other information (see https://www.delphi.ai/terms).
11.3. We do not control Delphi's services, infrastructure, or policies and are not responsible for them. We select third-party providers we believe implement appropriate security and privacy measures, but your relationship with Delphi and other third parties is also governed by their own terms and privacy notices.
11.4. Your interactions with any other third-party services are at your own risk, and we are not responsible for their acts, omissions, or content.
12. Privacy
12.1. Our collection and use of personal data is described in our Privacy Policy, available at https://ai.jimcarter.me/privacy-policy. By using the Service, you acknowledge that we will process your personal data in accordance with that Privacy Policy.
13. Account Termination and Deletion
13.1. You may stop using the Service at any time. To request deletion of your account, contact support@jimcarter.me.
13.2. When you request deletion of your account, CARTER & CUSTER LLC will stop using your personal data for active Service purposes and, subject to legal and contractual requirements, delete or anonymize the data we control within reasonable timeframes.
13.3. Because some parts of the experience run on Delphi's infrastructure, content you submitted through the AI interface (for example, chat messages or audio sent to Delphi) may continue to be stored by Delphi in accordance with Delphi's own terms, including in backups or aggregated datasets, even after we delete data from our own systems.
13.4. We may suspend or terminate your access to the Service if you materially breach these Terms, use the Service in a way that causes risk or harm to us or others, or if we are required to do so by law or platform policies.
13.5. Upon termination, your license to use the Service ends. Sections of these Terms that by their nature should survive termination (including those related to intellectual property, disclaimers, limitations of liability, and dispute resolution) will continue to apply.
14. Disclaimers
14.1. The Service is provided "as is" and "as available", without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
14.2. We do not warrant that the Service will be uninterrupted, secure, or error-free, or that AI Output will be accurate, reliable, or suitable for any particular purpose.
15. Limitation of Liability
15.1. To the fullest extent permitted by law, CARTER & CUSTER LLC and its affiliates, officers, employees, agents, partners, and licensors will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, resulting from or related to:
- Your use of or inability to use the Service.
- Any conduct or content of any third party, including Delphi.
- Any content obtained from the Service (including AI Output).
- Unauthorized access, use, or alteration of your transmissions or content.
15.2. Our total liability for any claim arising out of or relating to the Service will not exceed the greater of (a) the amount you paid to us for access to the Service in the twelve (12) months before the event giving rise to the claim, or (b) USD 100.
16. Indemnification
16.1. You agree to indemnify and hold harmless CARTER & CUSTER LLC and its affiliates, officers, agents, and employees from and against any claims, demands, losses, damages, or expenses (including reasonable attorneys' fees) arising out of or related to:
- Your use of the Service.
- Your User Content.
- Your violation of these Terms or applicable law.
- Your violation of any rights of another person or entity.
17. Governing Law and Dispute Resolution
17.1. These Terms are governed by the laws of California, without regard to conflict-of-law principles, except where another law is required by mandatory local law.
17.2. Any dispute arising out of or relating to these Terms or the Service will be resolved by binding arbitration in Los Angeles, California, unless another forum is required by mandatory law.
17.3. Before filing a formal claim, you agree to first attempt to resolve the dispute informally by contacting us at support@jimcarter.me and allowing us at least thirty (30) days to respond.
18. Changes to These Terms
18.1. We may update these Terms from time to time. When we do, we will change the "Effective date" above and, where required by law or platform rules, provide additional notice or obtain consent.
18.2. If you continue using the Service after the updated Terms become effective, you are deemed to have accepted them.
